UAE Juridical Persons: Companies incorporated in mainland and Free Zones.

Taxable Persons for Corporate Tax purposes in the UAE are entities and individuals brought within the scope of the Corporate Tax Law by Federal Decree-Law No. 47 of 2022. Broadly, every Taxable Person falls into one of two categories: Resident Persons or Non-Resident Persons. Understanding which category applies determines how a business registers, what income is taxed, and which elections or reliefs it may be entitled to.

Resident Persons

A Resident Person is taxed on both UAE-sourced and foreign-sourced income, subject to the provisions of the Corporate Tax Law. This category includes:

  • Juridical persons incorporated in the UAE, including companies established on the mainland and in Free Zones.
  • Foreign juridical persons that are effectively managed and controlled from within the UAE.
  • Natural persons (individuals) conducting a Business or Business Activity in the UAE, where turnover from that activity exceeds AED 1,000,000 in a calendar year.

It’s worth noting that a Free Zone company is still a Taxable Person subject to the Corporate Tax Law, even though a Qualifying Free Zone Person may separately benefit from a 0% rate on Qualifying Income, provided all conditions are met.

Non-Resident Persons

A Non-Resident Person is only taxed on income connected to the UAE. This category includes foreign juridical persons that:

  • Have a Permanent Establishment (PE) in the UAE, or
  • Earn UAE state-sourced income not attributable to a PE, or
  • Have a UAE nexus as specified by Cabinet Decision.

Non-Resident Persons without a PE that earn UAE-sourced income unrelated to that PE may instead fall under a Withholding Tax regime, currently set at a rate of 0%.

Exempt Persons

Certain entities are excluded from Corporate Tax altogether due to their public function or role, including:

  • Government entities and government-controlled entities
  • Extractive and non-extractive natural resource businesses meeting specified conditions
  • Qualifying public benefit entities
  • Qualifying investment funds
  • Public or private pension and social security funds

Some Exempt Persons must still apply to the FTA for exempt status; others are automatically exempt. It’s also worth noting that having no revenue or no active operations does not exempt a company from registration — the obligation to register is triggered by qualifying as a Taxable Person, not by earning income.

Elections and Applications Available to Taxable Persons

Once a business establishes which category it falls into, it can consider certain elections and applications that shape its tax position. Elections can be made unilaterally, simply by notifying the FTA, while Applications require the FTA’s prior approval.

Elections

  • Small Business Relief: Eligible Resident Persons with Revenue at or below AED 3,000,000 in the relevant and all prior Tax Periods can elect to be treated as having no Taxable Income, easing both compliance and tax burden. Note: this relief currently applies only to Tax Periods ending on or before 31 December 2026, and no extension has yet been announced.
  • Foreign Permanent Establishment exemption: Income from a Resident Person’s foreign PE can be exempted to avoid double taxation, though this doesn’t extend to natural resources, real estate, or banking activities conducted abroad.
  • Realization basis: Businesses can elect to recognize gains and losses on a realization basis rather than an accruals basis.

Applications

  • Tax Credit: Resident Persons can apply for credit on foreign tax paid on income also taxed in the UAE, to prevent double taxation.
  • Tax Exemption: Certain income — such as from charitable activities, qualifying reorganizations, or government grants — may be exempted at the FTA’s discretion.
  • Tax Ruling: Businesses can request a binding, written FTA ruling on how the law applies to a specific transaction or situation, for added certainty.
